These terms govern your use of the Athwen website and outline the basis on which we provide consulting services. Please read them carefully before engaging with us.

Acceptance of Terms

By accessing and using the Athwen website at athwens.sbs, or by engaging Athwen for any consulting service, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

If you are engaging Athwen on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms. If you do not agree with any part of these terms, please do not use this website or engage our services.

Services Description

Athwen provides business consulting and project advisory services. Our current service offerings are described on our website and include the following:

Project Setup Session

A structured engagement to help a team start a project with clear scope, defined roles, and agreed milestones. Delivered over one to two days.

Delivery Support Programme

A programme supporting teams through the middle phase of a project with coordination structure, risk awareness, and progress tracking. Delivered over approximately four weeks.

Project Advisory Retainer

A quarterly advisory arrangement offering ongoing guidance across a significant project initiative. Includes scheduled reviews and a closing report over three months.

All services are advisory in nature. Athwen does not provide legal, financial, accounting, engineering, medical, or other professionally licensed advisory services. Our work supports project management and organisational effectiveness.

Engagement & Scope

Each engagement begins with a written scope of work or service agreement that describes the deliverables, timeline, and fees applicable to that engagement. No consulting work commences until both parties have agreed in writing to the scope and terms of that engagement.

Athwen will perform services with reasonable care and skill. However, the effectiveness of consulting advisory work depends in part on the accuracy and completeness of information provided by the client and on the client's own actions in implementing any recommendations. Athwen does not represent or warrant that any particular outcome will result from an engagement.

Any changes to an agreed scope of work must be requested in writing and are subject to agreement on revised fees and timelines before additional work begins.

Fees & Payment

Service fees are as stated in the relevant engagement agreement or, where applicable, on our website at the time of engagement. All fees are stated in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless otherwise noted.

Payment terms are as specified in the engagement agreement. Unless otherwise agreed, invoices are due within fourteen (14) days of the invoice date. Athwen reserves the right to pause or suspend services where payment is materially overdue, after providing reasonable notice.

Fees for an agreed engagement are non-refundable once the service has commenced, except where Athwen has failed to deliver a service in a materially adequate manner. Any refund or credit is at Athwen's reasonable discretion and is considered on a case-by-case basis.

Intellectual Property

All content on this website — including text, layout, design, and images — is owned by or licensed to Athwen and is protected under applicable Malaysian intellectual property law. You may not reproduce, distribute, or adapt any website content without prior written permission from Athwen.

Deliverables produced for a client under an engagement — such as project outlines, milestone lists, tracking templates, and reports — are provided for that client's use within their organisation. Ownership of deliverables is as agreed in the engagement agreement. Where no specific agreement exists, Athwen retains the underlying methodology and approach, while the client receives a licence to use the deliverables for internal purposes.

Pre-existing intellectual property owned by either party prior to an engagement remains the property of that party throughout and after the engagement.

Confidentiality

Athwen treats information shared by clients in the course of an engagement as confidential. We do not disclose client information to third parties except where required by law, or with the client's prior consent.

Clients are expected to treat any methodologies, frameworks, or proprietary materials shared by Athwen as confidential and not to distribute or commercialise them without prior written consent.

Where confidentiality requirements for a particular engagement are more detailed, they will be set out in the engagement agreement, which takes precedence.

Limitation of Liability

Athwen provides consulting and advisory services with reasonable care and professionalism. However, the decisions and actions taken by a client based on advisory input remain the client's responsibility. Athwen does not accept liability for business decisions made independently by a client.

To the extent permitted by Malaysian law, Athwen's total liability for any claim arising from a service engagement shall not exceed the fees paid by the client for that specific engagement.

Athwen is not liable for any indirect, incidental, or consequential loss arising from the use of our website or from any advisory engagement, including loss of business, revenue, or data.

Nothing in these terms limits liability that cannot be excluded under applicable Malaysian law, including liability for gross negligence or wilful misconduct.

Website Use

You may use this website for personal, non-commercial purposes to learn about Athwen's services and to make contact with us. You may not use this website in any way that is unlawful, harmful, or disruptive.

Athwen makes reasonable efforts to ensure the accuracy of information on this website, but does not warrant that it is error-free or up to date at all times. Website content is provided for general information only and does not constitute professional advice of any kind.

We reserve the right to modify, suspend, or discontinue any part of this website at any time without notice.

Cancellation & Termination

Either party may request to end a consulting engagement with written notice to the other. The notice period and any financial implications of early termination are as specified in the individual engagement agreement.

Where no specific cancellation terms exist in an engagement agreement, a minimum of seven (7) calendar days' written notice is required. Work completed up to the date of termination remains billable at the agreed rate, pro-rated where applicable.

Athwen reserves the right to decline or discontinue an engagement if circumstances arise that make continued delivery impractical, unethical, or contrary to applicable law.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from these terms or from any engagement shall be subject to the exclusive jurisdiction of the Malaysian courts, unless otherwise agreed in the applicable engagement agreement.

Changes to These Terms

Athwen may update these Terms and Conditions from time to time. The updated version will be published on this page with a revised "Last Updated" date. Continued use of the website or engagement of our services after changes are published constitutes acceptance of the revised terms. We encourage you to review this page periodically.
